Terms of Service

The short version

Haymaker is a content and NIL studio for student athletes. We help you build an audience, create content, and land brand deals. In exchange, you agree to use the platform honestly, not abuse it, and give us the permissions we need to do our job. The full terms are below. They exist to protect both of us.

1. Who can use Haymaker

You must be at least 18 years old (or the minimum age of NIL eligibility under your state's rules) to use Haymaker. By creating an account, you confirm that you meet this requirement.

You must comply with NCAA, NAIA, or any other applicable governing body rules regarding NIL. Haymaker does not provide legal or compliance advice. It is your responsibility to confirm that your participation is permitted under your institution's and governing body's rules.

2. Your account

You are responsible for maintaining the security of your account and for all activity that occurs under it. Do not share your login credentials with anyone.

You agree to provide accurate information when creating your account and to keep it up to date. We may suspend or terminate accounts that contain false or misleading information.

3. What Haymaker provides

Haymaker provides a mobile and web platform that includes:

  • A daily task dashboard with filming briefs, publishing plans, and deadlines
  • A Vault for uploading and storing video clips and scripts
  • A content review and approval workflow for finished content
  • NIL deal proposals, acceptance, and management
  • Growth analytics pulled from your connected social accounts
  • A direct messaging channel with the Haymaker team

The specific services available to you depend on your plan and agreement with Haymaker. We reserve the right to modify, add, or remove features at any time with reasonable notice.

4. Your content

Ownership

You own the content you create and upload. Haymaker does not claim ownership of your videos, scripts, or likeness.

License you grant us

By uploading content to the Vault or submitting it through the app, you grant Haymaker a non-exclusive, royalty-free license to:

  • Store and process your content on our servers
  • Edit, caption, and format your content as part of our services
  • Publish your content to your connected social accounts (TikTok, Instagram, YouTube) as directed by you through the approval workflow
  • Display previews of your content within the Haymaker platform

This license exists only to provide the services. We will not use your content or likeness for any other purpose (including advertising Haymaker) without your separate written consent.

Content you are responsible for

You represent that you have all rights necessary to upload your content and that it does not infringe any third-party rights (including music, footage, trademarks, or rights of publicity of others who appear in your videos).

You agree not to upload content that is illegal, defamatory, harassing, or that violates anyone's privacy or intellectual property rights.

5. NIL deals and brand partnerships

Haymaker facilitates brand deal proposals on your behalf. When you accept a deal through the app, you are entering into a direct agreement with that brand. Haymaker is not a party to that agreement unless otherwise specified.

You are responsible for fulfilling your obligations under any accepted deal: delivering the agreed content, meeting deadlines, and complying with applicable FTC disclosure requirements for sponsored content.

Haymaker earns a fee on NIL deals facilitated through the platform. The fee structure is set out in your individual agreement with Haymaker.

6. Social account connections

When you connect TikTok, Instagram, YouTube, or other platforms, you authorize Haymaker to access those accounts solely to publish approved content on your behalf and to retrieve analytics data for your Progress dashboard.

You can disconnect any social account at any time from within the app. Disconnecting will stop future publishing but will not remove content already published.

7. Payments

If NIL deal payments are processed through Haymaker, we will handle disbursements in accordance with the payment terms in your individual agreement. You are responsible for reporting any income you receive through Haymaker to applicable tax authorities. Haymaker may be required to issue tax documentation (such as a 1099 form) where required by law.

8. Prohibited uses

You agree not to:

  • Use Haymaker for any unlawful purpose
  • Attempt to reverse-engineer, hack, or disrupt the platform
  • Scrape or extract data from the platform using automated tools
  • Impersonate another person or entity
  • Upload malware or any malicious code
  • Use the platform in any way that violates your institution's eligibility rules or any governing body's regulations
  • Harass or threaten Haymaker staff or other users

Violation of these rules may result in immediate account suspension or termination.

9. Intellectual property

Haymaker and its logo, product design, software, and content (excluding your uploaded content) are the property of Haymaker and are protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works from any part of the platform without our written permission.

10. Termination

You may close your account at any time by contacting us at support@haymaker-studio.com. Upon closure, we will delete your personal data in accordance with our Privacy Policy.

Haymaker may suspend or terminate your account if you breach these terms, if required by law, or if your account has been inactive for an extended period. We will give you reasonable notice unless the termination is due to a serious breach.

11. Disclaimers

Haymaker is provided "as is." We do not guarantee that the platform will be uninterrupted, error-free, or that results from using it (follower growth, NIL earnings, content performance) will meet any particular expectation. We make no warranties, express or implied, beyond what is required by applicable law.

12. Limitation of liability

To the fullest extent permitted by California law, Haymaker's liability to you for any claim arising from your use of the platform is limited to the amount you paid to Haymaker in the three months preceding the claim. Haymaker is not liable for indirect, incidental, or consequential damages, including lost earnings or data.

13. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these terms will be resolved in the state or federal courts located in California, and both parties consent to jurisdiction there.

14. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you in the app at least 14 days before the changes take effect. Continued use after that date constitutes acceptance.
